Bhd., doing business as w3Lead ("Company," "we," "us," or "our"), a company registered in Malaysia. By accessing or using this Site or engaging our Services, you agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy, and any additional terms applicable to specific projects, services, or agreements.

1. Acceptance of Terms

3. Eligibility & Account Registration
3.1 Age Requirement
You must be at least 18 years of age or the age of majority in your jurisdiction to use our Services. By engaging our Services, you represent and warrant that you meet this requirement.
3.2 Business Representation
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In such cases, "you" refers to both you individually and the entity you represent.
3.3 Account Security
You are responsible for maintaining the confidentiality of any login credentials, access codes, or account information provided to you. You agree to notify us immediately of any unauthorized use of your account. You are fully responsible for all activities that occur under your account.
4. Pricing & Payment Terms
4.1 Project-Based Pricing
Pricing for our Services varies based on project scope, complexity, and requirements. All pricing will be agreed upon in writing before work commences through a Service Agreement, proposal, or Statement of Work.
4.2 Payment Structures
We offer flexible payment arrangements, which may include:
- One-time project fees: Full or partial payment before project commencement
- Installment payments: Structured payment schedules as agreed in writing
- Subscription-based services: Monthly or annual recurring payments
- Commission-based arrangements: Performance-based compensation tied to agreed metrics
- Profit-sharing models: Revenue-sharing agreements as mutually agreed
- Hybrid models: Combination of the above structures
The specific payment terms for your engagement will be outlined in your Service Agreement.
4.3 Payment Methods
We accept payment via bank transfer, credit card, and other methods as agreed. All payments must be made in the currency specified in your Service Agreement unless otherwise agreed.
4.4 Late Payments
Payments not received by the due date may be subject to:
- Suspension of services until payment is received
- Late payment fees as specified in your Service Agreement
- Termination of the agreement for non-payment
4.5 Subscription Auto-Renewal
For subscription-based services, your subscription will automatically renew at the end of each billing cycle unless you cancel at least seven (7) days before the renewal date. You authorize us to charge your payment method on file for renewal periods.
4.6 Taxes
All fees are exclusive of applicable taxes, duties, or levies (including but not limited to VAT, GST, sales tax). You are responsible for all such taxes except those based on our net income.
5. No Refund Policy
5.1 General Policy
Due to the customized, project-based nature of our Services and the immediate value delivered through strategy, consulting, and implementation work, all payments are final and non-refundable unless explicitly stated otherwise in your Service Agreement.
5.2 Rationale
Once work has commenced:
- Resources have been allocated to your project
- Strategic planning and analysis have been performed
- Custom solutions have been developed or implemented
- Third-party costs may have been incurred on your behalf (e.g., advertising spend, software licenses, contractor fees)
5.3 Service Dissatisfaction
If you are unsatisfied with our Services, we encourage you to contact us immediately at hello@w3lead.co. While we cannot offer refunds, we are committed to working with you to address concerns and improve service delivery within the scope of our agreement.
5.4 Project Cancellation
If you wish to cancel or terminate services:
- You remain responsible for payment of all work completed up to the cancellation date
- Any advance payments for incomplete work are non-refundable
- Cancellation terms specific to your project will be outlined in your Service Agreement
6. Client Responsibilities & Cooperation
6.1 Information & Access
You agree to provide:
- Timely access to necessary accounts, platforms, systems, and data
- Accurate and complete information required for service delivery
- Reasonable availability for meetings, approvals, and feedback
- Access credentials and permissions as needed
6.2 Approvals & Feedback
You agree to:
- Review deliverables within reasonable timeframes
- Provide clear, consolidated feedback
- Approve work in writing when required
Delays in providing access, information, or approvals may extend project timelines and affect results. We are not responsible for delays or performance issues caused by lack of client cooperation.
6.3 Third-Party Costs
You are responsible for all third-party costs associated with your project, including but not limited to:
- Advertising spend (Facebook Ads, Google Ads, etc.)
- Software licenses and subscriptions
- Hosting and domain costs
- Stock media, fonts, or other licensed assets
- Payment processing fees
Unless explicitly included in your Service Agreement, these costs are separate from our service fees.
7. Intellectual Property Rights
7.1 Our Intellectual Property
All content on this Site, including but not limited to text, graphics, logos, images, videos, software, code, methodologies, frameworks, and documentation, is the exclusive property of w3Lead or our licensors and is protected by Malaysian and international copyright, trademark, and intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our Site without prior written consent.
7.2 Client-Submitted Content
When you provide us with content, data, materials, or information ("Client Content") for use in delivering our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and display such content solely for the purpose of performing our Services.
You represent and warrant that:
- You own or have the necessary rights to all Client Content
- Your Client Content does not infringe on any third-party intellectual property rights
- Your Client Content complies with all applicable laws and regulations
7.3 Work Product & Deliverables
Ownership of work product and deliverables will be specified in your Service Agreement. Generally:
- Custom-developed materials (websites, software, graphics, copy created specifically for you) become your property upon full payment
- Pre-existing materials and methodologies (templates, frameworks, processes we use across clients) remain our intellectual property
- Third-party assets (stock photos, fonts, plugins) are licensed as appropriate
7.4 Portfolio Rights
Unless you explicitly request otherwise in writing, you grant us the right to:
- Display your project in our portfolio and case studies
- Reference you as a client in marketing materials
- Use non-confidential project details as examples of our work
If confidentiality is required, this must be specified in your Service Agreement.
8. Confidentiality
8.1 Our Obligations
We agree to maintain the confidentiality of any proprietary or confidential information you share with us in connection with our Services. We will not disclose such information to third parties except:
- As necessary to perform our Services (e.g., to subcontractors bound by confidentiality)
- With your written consent
- As required by law
8.2 Your Obligations
You agree to maintain the confidentiality of any proprietary methodologies, strategies, processes, or confidential information we share with you.
8.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of these Terms
- Was already known to the receiving party
- Is independently developed without use of confidential information
- Is required to be disclosed by law
9. Performance & Results Disclaimer
9.1 No Guarantees of Results
We provide professional services aimed at improving your revenue generation, but we make no guarantees, representations, or warranties regarding specific outcomes, results, revenue, leads, conversions, or return on investment (ROI).
Marketing, sales, and business results depend on numerous factors outside our control, including but not limited to:
- Your industry, market conditions, and competition
- Your product or service quality and pricing
- Your sales team's performance
- Economic conditions and consumer behavior
- The quality and timeliness of information you provide
- Third-party platform policies and algorithm changes
9.2 Case Studies & Testimonials
Any case studies, testimonials, examples, or results referenced on our Site or in our marketing materials represent specific client experiences and are not typical or guaranteed. Past performance is not indicative of future results.
9.3 Third-Party Platform Risks
Services involving third-party platforms (Facebook, Google, LinkedIn, etc.) are subject to:
- Platform policy changes beyond our control
- Account suspensions or restrictions
- Algorithm updates affecting performance
- Platform outages or technical issues
We are not responsible for losses or damages resulting from third-party platform actions or changes.
9.4 Testing & Optimization
Digital marketing and revenue generation require ongoing testing, optimization, and iteration. Results may vary during testing phases, and we cannot guarantee immediate success.
10. Limitation of Liability
10.1 Maximum Liability
To the fullest extent permitted by applicable law, our total liability to you for any and all claims arising from or related to our Services, whether in contract, tort, negligence, or otherwise, shall not exceed the total amount you paid to w3Lead in the twelve (12) months preceding the claim.
10.2 Exclusion of Damages
We shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or business opportunities
- Loss of data or business interruption
- Advertising spend or third-party costs
- Damages arising from third-party platform actions
- Damages resulting from your failure to cooperate or provide necessary access
Even if we have been advised of the possibility of such damages.
10.3 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet outages, third-party platform failures, or government actions.
11. Disclaimers
11.1 "As Is" Basis
Our Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

- You remain responsible for all fees incurred up to the termination date
- We will provide a final report or deliverables as outlined in your agreement
12.2 Termination for Breach
We reserve the right to immediately terminate or suspend Services if you:
- Fail to make required payments
- Breach these Terms or your Service Agreement
- Engage in fraudulent or illegal activity
- Provide false or misleading information
- Fail to cooperate or provide necessary access
12.3 Effect of Termination
Upon termination:
- All outstanding fees become immediately due and payable
- We may cease work on all deliverables
- Access to any tools, systems, or platforms we provide will be revoked
- Confidentiality and intellectual property provisions survive termination
13. Data Protection & Privacy
We are committed to protecting your personal information and business data. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using our Services, you consent to our data practices as described in our Privacy Policy and acknowledge that:
- We may process your data to deliver Services
- We may use third-party tools and platforms that process data
- We implement reasonable security measures but cannot guarantee absolute security
- You are responsible for the security of your own systems and accounts
14. Indemnification
You agree to indemnify, defend, and hold harmless w3Lead, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

- Your breach of these Terms or your Service Agreement

- Your infringement of any third-party intellectual property or other rights
- Content or materials you provide to us
- Your business operations, products, or services
15. Dispute Resolution & Governing Law
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.
15.2 Jurisdiction
You agree that any disputes arising from or related to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Malaysia, specifically the courts located in Kuala Lumpur, Wilayah Persekutuan.
15.3 Arbitration (Optional)
Where permitted by law and mutually agreed, disputes may be resolved through binding arbitration under the rules of the Asian International Arbitration Centre (AIAC) or the Kuala Lumpur Regional Centre for Arbitration (KLRCA), conducted in Kuala Lumpur, Malaysia, in the English language.
15.4 Informal Resolution
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. Either party may initiate this process by providing written notice to the other party.
15.5 International Clients
For clients located outside Malaysia, these Terms remain governed by Malaysian law. However, nothing in these Terms shall limit any mandatory consumer protection rights you may have under the laws of your country of residence that cannot be waived by agreement.
16. Miscellaneous Provisions
16.1 Entire Agreement
These Terms, together with your Service Agreement and our Privacy Policy, constitute the entire agreement between you and w3Lead regarding our Services and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of w3Lead.
16.4 Assignment
You may not assign or transfer these Terms or your Service Agreement without our prior written consent. We may assign our rights and obligations without restriction.
16.5 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and w3Lead. You are an independent party, and neither party has authority to bind the other.

Notices are deemed delivered when sent by email or three (3) business days after mailing if sent by post.

Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution.
